The Directors of Coghlan Duffy + Co are delighted to announce that two of our long-term team members have been promoted with effect from 1 May 2019.

Sarah Ward has been promoted to ‘Senior Associate’, while Carlie Hodges has been promoted to the newly created position of ‘Manager – Corporate Governance’ within the firm’s related company secretarial business, cdPlus Corporate Services.

Coghlan Duffy + Co advises Incodocs on $1.2M capital raise led by Maersk

Brisbane based start-up, Incodocs, recently released details of its seed capital raise led by the biggest shipping company in the world, AP Moller-Maersk, and its corporate venture arm.

The raise was also backed by local VC funds, Transition Level Investments and Blackbird Ventures 

Coghlan Duffy + Co were delighted to act for Incodocs on this strategic seed capital raise.

Incodocs offers a secure export documentation platform and compliance checks for participants in the global shipping industry. The funds will be used to develop smart technology and capitalise on opportunities in emerging markets, such as Africa and South-East Asia.

Coghlan Duffy + Co advises CareMonkey on its US$1.5 million seed funding round

We are pleased to have acted for CareMonkey on its recent US$1.5 million seed funding round. 

CareMonkey helps schools save time and resources through its automated software platform that manages administrative workflows and consent forms (e.g. excursions, policy updates). 

CareMonkey will use the capital to accelerate its presence and growth in the US and UK markets. 

The round was led by Peter Bencivenga, alongside venture capital funds, New Ground Ventures and Rethink Education.

Coghlan Duffy + Co advises memobottle on capital raising

 21 December 2018

We are pleased to have acted for memobottle on its equity crowdfunding campaign.

The campaign was one of the first to use the recent legislative changes allowing private companies to raise capital by way of equity crowdfunding.

Memobottle is the designer and seller of the first flat reusable water bottle, designed to minimise the impact of single-use water bottles on our environment.

It surpassed its crowdfunding target of $300,000.

Coghlan Duffy + Co advises YourGrocer on acquisition of Aussie Farmers Direct IP

We are delighted to have advised YourGrocer on its acquisition of the Aussie Farmers Direct brand names, trade marks and customer database from administrators, KordaMentha.

The CD+Co team included Director, John Coghlan, Senior Associates, Zain Kazi and Fiona Rose and Lawyers, Laura Morgan and Patrick McGlynn.

KordaMentha were represented by Ashurst, while one of the secured lenders was represented by Jones Day in the transaction.

YourGrocer is a Melbourne based online grocer that has formed partnerships with over 65 independent food retailers and allows shoppers to purchase groceries through its online platform. Aussie Farmers Direct, an independent grocery delivery business, went into voluntary administration in March 2018.

YourGrocer now intends to use the database of approximately 700,000 customers to continue to provide similar services to those provided by Aussie Farmers Direct and expand its services to Sydney.
